Paul Matthews joined the firm in 2016 and is a Director, member of the board and Head of the Corporate and Commercial Team. 

After attaining a law degree from the University of Birmingham, Paul gained experience as a specialist corporate and commercial solicitor before spending 17 years as a partner at a Manchester city centre law firm.

Paul specialises in corporate transactions including company and business sales and acquisitions, management buyouts, company reorganisations, shareholder agreements, joint ventures, partnership agreements and general company and partnership law issues.

Paul is a legal specialist on the incorporation of unincorporated associations and other membership organisations, such as the National Association of Retired Police Officers, as companies limited by guarantee.  His work includes bespoke drafting of Articles of Association and Rules as well as incorporation agreements.  Paul works closely with the organisation to provide legal input to the management of the project.

Following incorporation, Paul provides ongoing company law advice on the practical implementation of the articles and rules to ensure the new company is compliant.

He also advises across a full range of general commercial and contractual matters to ensure companies have up-to-date and robust documentation in place to support their trading activities.  Paul also specialises in constitutional work for clubs and associations (both incorporated and unincorporated).

Paul’s ability to advise on both corporate and commercial matters is particularly appreciated by SMEs, family companies and owner managed businesses whom Paul has extensive experience of advising on a wide variety of business related matters.

Clients benefit from Paul’s strategic and commercial understanding of the needs of their businesses and directors, founded on long-term working relationships, and his provision of proactive advice which is delivered in line with the wider objectives of the business.

Paul has particular strength in drafting bespoke documentation for unusual corporate transactions and contractual arrangements and is valued by his clients for the creative solutions he provides to help them achieve their goals.
