Sale to the Good Golf Company

The transaction involved the complex sale of the club, which operated as an unincorporated association, and clubhouse and land, held in a limited company, to The Good Golf Company.  This involved the sale of the assets of the unincorporated association as well as the sale of the entire issued share capital of the separate limited company including the clubhouse, course and other land.

What WHN Delivered

Paul Matthews led this unusual and multi-faceted transaction, supported by Charlie Diamond-McGill and Justine Harris Hughes.

Paul advised on and negotiated the asset purchase agreement relating to the transfer of the assets of the club and the share sale and purchase agreement relating to the entire issued share capital of the company.

As a result of this investment by the buyer, the course will be restored and improved, substantial improvements will be made to the clubhouse and new technology will be introduced, all designed to enhance both the environment and experience for members and visitors to the club.

Paul protected the interests of the club and its members by introducing clauses which sought to ensure that, should the additional land be sold for redevelopment, proceeds would be reinvested in the club to the benefit of members.

As he was acting on behalf of the trustees of the club, Paul also built in provisions to protect them against personal liability.

 The deal took approximately three months to complete, concluding in April 2026.

Walmersley Golf Club in Bury was established in 1906 and has undergone a variety of changes, growing in size through the purchase of multiple plots of adjacent land over the years and culminating in a beautiful heathland golf course situated around a welcoming, comfortable clubhouse. The club is a founder member of Bury & District Golf Association and has historically been run “professionally” by members, operating as an unincorporated association, for members who have contributed consistently to the development and success of the club.
